These Terms of Use (the “Terms”) govern your access to and use of the Luxedo platform, including the court projection software, portal, and related services (collectively, the “Service”) provided by Luxedo (“Luxedo,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
Luxedo provides software and tools for creating, managing, and projecting visual content onto courts and other surfaces. We may add, change, or remove features at any time, and we may set limits on certain features or restrict access to parts of the Service.
2. Accounts and eligibility
You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and accept these Terms.
3. Your content and your responsibilities
“Your Content” means any media, images, names, logos, text, or other material you or your organization upload to or create with the Service. You retain ownership of Your Content. You grant Luxedo a worldwide, non-exclusive license to host, store, process, and display Your Content solely as needed to provide and improve the Service to you.
You represent and warrant that you own or have all rights, consents, and permissions necessary to upload Your Content and to grant the license above, and that Your Content does not violate any law or infringe the rights of any third party.
4. Acceptable use
You agree not to:
- upload content you do not have the right to use, or that infringes others’ rights;
- upload content depicting or concerning a minor without the legally required consents;
- use the Service for any unlawful, harmful, harassing, or deceptive purpose;
- attempt to gain unauthorized access to the Service or to other users’ data;
- interfere with or disrupt the integrity or performance of the Service; or
- reverse engineer or attempt to extract source code except as permitted by law.
5. Intellectual property
The Service, including its software, design, and trademarks, is owned by Luxedo and is protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in and to the Service.
6. Subscriptions and billing
Some features require a paid subscription. Fees, billing cycles, and renewal terms are presented at the time of purchase. Unless otherwise stated, subscriptions renew automatically until cancelled, and fees are non-refundable except where required by law.
7. Third-party services
The Service may integrate with third-party products and services. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
9. Limitation of liability
To the maximum extent permitted by law, Luxedo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold Luxedo harmless from any claims, damages, liabilities, and expenses arising out of Your Content, your use of the Service, or your breach of these Terms — including any claim that Your Content lacked a required consent or permission.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe it is necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles, and the parties submit to the exclusive jurisdiction of the courts located there.
